Clarification on MSA duration and key terms

Milan, February 12th, 2026 – Infrastrutture Wireless Italiane S.p.A. (“INWIT”), following the publication this morning by Swisscom SA, controlling shareholder of Fastweb+Vodafone, of information pertaining to its MSA duration and key terms, wishes to clarify the following:

  • INWIT MSAs are long-term agreements which involved a significant initial investment by INWIT and corresponding upfront proceeds to the Anchor clients.
  • This is consistent with the infrastructure-based nature of INWIT’s business model, which rests on predictable long-term revenue streams, at terms which are in line with the market. Such industrystandard business model creates value for all parties involved.
  • INWIT MSA with Fastweb+Vodafone (then Vodafone Italia), started in 2020 and, following the INWIT change of control that occurred in August 2022, according the “MSA Change of Control” protection clause, has been extended for a period of 16 years (until August 2038), during which no termination is allowed.

INWIT reaffirms that, also taking into account the current challenging Telecoms industry scenario in Italy and the material need of future investments for digitalization, it remains committed to invest and extend its longterm partnership with its customers and to find new areas of efficiency and industrial synergy, continuing to create value for all parties.
